If a company has not been carrying on any business and has failed to file its annual returns, the Registrar of Companies (ROC) can issue a notice to strike off the company's name from the register. This leads to the company ceasing to exist as a legal entity.

Startup Example: A dormant startup fails to do its annual filings for two years. The ROC issues a strike-off notice. If they don't respond, the company will be dissolved, and its bank account may be frozen.
