Form MGT-14 is used to file certain special resolutions and other agreements with the ROC. Failure to file this form within 30 days of passing the resolution attracts significant penalties on the company and its officers.

Startup Example: A startup passes a special resolution to adopt a new set of Articles of Association but fails to file Form MGT-14 with the ROC. The resolution is not effective, and the company is in non-compliance.
